L'application du droit des sociétés aux associations par les juges est de plus en plus affirmée malgré les vives protestations qu'elle suscite. Il a ainsi été prétendu, que cette transposition jurisprudentielle dénaturerait l'association qui est constituée "dans un but autre que de partager des bénéfices" à la différence de la société. Mais, derrière cette crainte se cache en réalité l'ombre de la sacro-sainte loi de 1901! Cependant, l'examen de la jurisprudence permet de révéler des similitudes réelles entre l'association et la société.En effet, l'association et la société sont bien crées par des actes juridiques. L'acte juridique va alors donner naissance à un groupement organisé. Cette organisation étant limitée dans ses effets notamment vis-à-vis des tiers, l'attribution de la personnalité morale tant pour l'association que la société va devenir une nécessité. Dès lors il est possible de dégager des règles communes qui tiennent d'une part à leur nature d'acte juridique et d'autre part à l'attribution de la personnalité morale.Ce sont ces règles qui justifient l'application du droit des sociétés aux associations.
