Excerpt from Public Service Corporations and the Public William G. McAdoo, president of the company which built the Hudson tunnels, was born near Marietta, Georgia, October 31, 1863. He is descended from a family which has been prominent in the public and military affairs of the South for nearly three centuries. Mr. McAdoo's father, William G. McAdoo, M.A., LL.D., was a judge; a soldier both in the Mexican and in the Civil Wars; for two terms District Attorney General of the State of Tennessee; and in his later years Professor of English and History in the University of Tennessee. The Civil War swept away his possessions, and William G. McAdoo, the son, was born and raised in poverty. Far from bewailing his fate, he looks back on the privation of his early life as a most fortunate circumstance. In a public address not long ago he said: "I was brought up in Georgia, in the path of General Sherman's famous march to the sea. As Henry Grady once remarked, 'General Sherman was a bit careless with fire, ' and for this reason, among other things, he has never been a popular man in Georgia. For myself, however, I feel that I owe General Sherman a debt of gratitude. I believe that character is produced and developed to the highest degree by hardships, sufferings and poverty. I have never doubted that whatever of character I have developed has been, in a large measure, due to the surroundings and conditions which General Sherman forced upon the people of our section during that great war." Mr. McAdoo entered the University of Tennessee but was forced to leave in his junior year in order to take a position as clerk in the United States Circuit Court. Excerpt from Report of the Commission De Public Service Corporations: To the General Assembly, January Session, 1909 To the General Assembly of the State of Connecticut, at its January Session, 1909: The undersigned were appointed a Commission by the last General Assembly to consider the laws of this State relating to public service corporations and to recommend to this General Assembly legislation to correct such evils and defects as this Commission might find to exist therein, or any legislation on the subject which it might deem desirable for the public interest. (Special Laws of Connecticut, 1907, Chap. 470.) After careful consideration we have reached the conclusion that it would be desirable to vest in a permanent Public Utilities Commission the following powers and duties: 1. To grant franchises to public service corporations. 2. To supervise the condemnation of land and construction of fixtures by these corporations in so far as the same affects the public safety or interest. 3. To supervise the capitalization of these corporations. 4. To ascertain the facts relating to the financial condition of these corporations; the physical condition of their plants and equipments, and the causes of accidents resulting from their operation. 5. To supervise their operation in so far as the same substantially affects the public safety. 6. To fix the rates chargeable when existing rates are unreasonable. Before giving in detail our reasons for these conclusions we would state that in our opinion the duties of a Public Utilities Commission should be purely supervisory and not managerial. The management of the ordinary affairs of these corporations ought to be left to the corporations themselves. The distinction between the private callings - the rule - and the public, callings - the exception - is a striking feature of the law governing business relations as it is to-day. The causes of the division are economic rather than strictly legal. Free competition, the very basis of the modem social organization, superseded almost completely medieval restrictions, but it has just come to be recognized that the process of free competition fails in some cases to secure the public good, and it has been reluctantly admitted that some control is necessary over such lines of industry as are affected with a public interest. At this point the problem of public callings becomes a legal one. No one can carefully study the authorities on this subject without feeling that we are just entering upon a great and important development of the common law. What branches of industry will eventually be of such public importance as to be included in the category of public callings, and to what extent the control of the courts will be carried in the effort to solve by law the modem economic problems, it would be rash to predict. Enormous business combinations, virtual monopolization of the necessaries of life, the strife of labor and capital, now the concern of the economist and the statesman, may prove susceptible of legal control through the doctrines of the law of public callings.
