Author: Wesley B. Truitt
Publisher: Bloomsbury Publishing USA
ISBN: 0313055149
Category : Business & Economics
Languages : en
Pages : 297
Book Description
Today's culture is increasingly influenced—even dominated—by business; The Corporation provides readers with a basic understanding of how a corporation works and how it contributes to the wealth of its shareholders, employees, communities, and nations in which it is active. Part I addresses how and why the corporation developed historically (in legal, political, economic, and social context) and how it become the most dominant business form in the U.S. Part II covers the laws and regulations that influence the corporation's daily operations and compares it with other business entities (such as partnerships) in the U.S. and around the world. Part III explores issues related to ethical conduct and accountability, and considers the future of the corporation in an era of economic anxiety. Featuring many company examples, illustrations, charts, a glossary, timeline, and listings of resources and references, The Corporation is an essential introduction to business and its role in society. Today's culture is increasingly influenced—even dominated—by business, and the corporation is the quintessential enterprise, representing everything that is popularly considered both good and evil about business. The Corporation provides readers with a basic understanding of how a corporation works, generating wealth for its shareholders, employees, communities, and the nations in which it is active. The first part addresses the importance of the corporation in the United States—how and why this business form developed historically (in legal, political, economic, and social context), how it became the country's most dominant business form, and its vital role in the economy today, including its contributions to Gross Domestic Product and employment. The next section focuses on the nature of a corporation as a business entity, including the process of incorporating, laws and regulations that influence its daily operations, and a comparison with other business entities (such as partnerships) in the U.S. and around the world. The final chapters explore issues related to ethical conduct and accountability—governance, auditing and financial reporting, business-government relations, social responsibility, and compensation of directors and executives—and considers the future of the corporation in an era of economic anxiety. Featuring many company examples, illustrations, charts, a glossary, timeline, and listings of resources and references, The Corporation is an essential introduction to business and its role in society.

Toward an Integrative Explanation of Corporate Financial Performance
Author: N. Capon
Publisher: Springer Science & Business Media
ISBN: 9401153809
Category : Business & Economics
Languages : en
Pages : 414
Book Description
This volume is a milestone on our journey toward developing a more comprehensive understanding of the underpinnings of corporate financial performance. Weare concerned with both the factors that cause the financial performance of some firms to be better than others at a point in time and those factors that influence the trajectory of firm financial performance over time. In addressing these issues, we consider theoretical and empirical work on financial performance, drawn from several literatures, as well as present the results from our own empirical study. The review of the theoretical and empirical work is contemporary; the major portion of data comprising the empirical study was collected in the early 1980s as part of the Columbia Business School project on corporate strategic planning, but some data sequences extend into the mid-1980s and early 1990s. Our goals are to improve understanding of firm financial performance by developing a more integrated framework and to develop a research agenda based on what we have learned. This volume consists of four chapters, 12 appendices that provide detailed technical support and development for various portions of the discussion and an extensive set of references. It interweaves results from published literature in various fields with our original empirical work and develops an integrative approach to the study of firm fmancial performance.

Women on Corporate Boards of Directors
Author: Ronald J. Burke
Publisher: Springer Science & Business Media
ISBN: 9048134013
Category : Philosophy
Languages : en
Pages : 267
Book Description
Both the practitioner and academic communities have voiced strong opinions regarding the progress of women in reaching the executive suite and the corporate boardroom. Proponents on each side of the current debate offer evidence suggesting the accuracy of their respective positions. One view holds: "The fight is over. The battle is won. Women are now accepted as outside directors in the preponderance of corporate boardrooms" (Lear, 1994: 10). An alternative perspective, however, suggests there is much progress left. An illustration of the type of remaining barriers is provided by T. J. Rodgers, chief executive officer (CEO) of Cypress Semiconductor Corp. , who has commented that "a 'woman's view' on how to run our semiconductor company does not help us" (Rodgers, 1996: 14). Regardless of where one falls along the spectrum anchored at one end by the view that women have made substantial progress in reaching the upper echelons of corporations and anchored at the other end by the view that women have barely begun to penetrate the "inner sanctum" of corporations, the central issue is the extent to which women have succeeded in cracking the proverbial "glass ceiling. " The glass ceiling is a metaphorical barrier which prevents women from attaining the upper-most organizational positions (e. g. , Karr, 1991; Morrison, White, Van Velsor, and the Center for Creative Leadership, 1992; Powell & Butterfield, 1994; U. S. Department of Labor, 1991).
