Book Description
Excerpt from The Law of Contracts After teaching the law of contract for twenty years, I have consented, at the earnest and continued solicita tion of my colleagues in our Law Faculty, to formulate some of the results of this long experience, and to digest for publication the mass of notes and material gathered. The desire to treat this subject in my own way, and in accordance with my own ideas, has given me courage to continue my work. Book Description
Excerpt from Principles of the Law of Contract The purpose of this book is to give a complete and concise statement of the fundamental principles of the Law of Contract. Practically every principle, as applied by the courts generally in all States, is treated in this volume. It gives the starting point, with citations of the principal cases for further study and research work. The underlying principles of Contract Law are the same in all jurisdictions but the courts in different jurisdictions fre quently vary as to their application in particular instances. NO pretense is made to developing, harmonizing and dis cussing conflicting decisions. A discussion Of the contro verted questions will be found in the cases cited in the text. Their consideration in this work would defeat the very purpose for which it is prepared, - succinctness and a ready reference to leading authorities. Although in the citations a preference is given to New York cases, it is not to be inferred that the law as stated is applicable only to New York. The cited authorities will be found to con tain references to authorities in other jurisdictions. Num erous citations of cases are purposely avoided. The book is in no sense a digest Of contract law. Book Description
Excerpt from Law of Contract I have endeavored, in this revised edition of a book on the law of contract which was published some years ago, to set forth, with as much clearness and conciseness as I could command, the leading principles in all parts of the subject. The treatment of some matters, concerning which the authorities are conflicting, has been more elaborate than that of others where there is no difficulty for this reason. In dealing with Conditional Contracts, I have borrowed from the civil law a classification not used by English or American writers, but one which seems to me to aid greatly in simplifying an important subject where the rulings are confused and the terminology perplexing. Writers on the law of contract in this generation owe a debt of gratitude to the works of Sir W. R. Anson and Sir F. Pollock which I wish to acknowledge. Other books on the subject, both before and since these works, have successfully collected or digested the decisions of the Courts, but they lack the system and the steady grasp of principle of the writers I have named. By means of his classification of the subject. Sir W. Anson has effected both a quantitative and a qualitative simplification of the law of contract. The substance of the law as formulated in the decisions of the courts for several centuries is admirably adapted to promote justice, and is a part of the intellectual capital of humanity. But these decisions are so numerous, so full of refined distinctions, so difficult of access, that the problem is how to state this established law in such a form that its application in practice is simplified and facilitated. In a discussion of what he calls legal technique by that very suggestive writer. Von Ihering, it is said that, to the question of how to state the law, common sense has no other answer than this - by a clear, precise and detailed compilation of the laws.
