La jurisprudence et la loi s'accordent pour mettre à la charge du dirigeant d'entreprise, l'obligation sous sa responsabilité, de faire respecter par le personnel l'ensemble des textes qui réglemente l'activité de l'entreprise. Si c'est le pouvoir de décision, ou la relation d'autorité unissant le dirigeant à ses préposés, qui constitue le fondement de la responsabilité pénale du dirigeant d'entreprise, il paraît logique que la délégation de pouvoirs conduit à, exonérer le dirigeant de sa responsabilité. La jurisprudence, prenant en compte la lourdeur de cette responsabilité, a admis qu'une délégation de pouvoirs était de nature à permettre un meilleur partage du pouvoir et de la responsabilité au sein de l'entreprise. La consécration de la responsabilité pénale des personnes morales peut être comprise comme un instrument de meilleure justice, afin de rompre avec le système de responsabilité fictive qui pesait trop souvent sur leurs dirigeants. Plus précisément, l'objectif est d'agencer aux mieux les deux responsabilités, pour une bonne gestion du risque pénal, sans fiction ni présomption. Mais le nouveau Code pénal ne donne aucun critère. Aujourd'hui, à la faveur de la redéfinition des délits non intentionnels, le législateur reprend l'initiative. La loi du 10 juillet 2000 élimine le cumul de responsabilité en cas de faute d'imprudence simple de la personne physique s'inscrivant dans une causalité indirecte.
