Cette thèse a pour objectif de démontrer qu’il existe un traitement pénal spécifique réservé au chef d’entreprise. C’est au travers des conditions d’imputation que la responsabilité pénale du dirigeant peut être qualifiée d’« extra-ordinaire », dans le sens d’une responsabilité pénale dérogatoire du droit commun. La répression qui en découle connaît toutefois une mutation : d’autres moyens de nature répressive permettent de garantir l’éthique dans l’entreprise et d’affirmer que le droit pénal est en train de perdre le monopole de la sanction. L’étude distingue alors les mesures de « régulation » d’une part, et les mesures d’ « auto-régulation », d’autre part. Les premières, assurées par des autorités administratives, invitent le chef d’entreprise à régulariser la situation infractionnelle. Les secondes conduisent les dirigeants à développer des règles de soft law à finalité préventive. Ce transfert de l’effectivité des règles éthiques à des mécanismes extra-pénaux, conduit à faire de la voie pénale un outil au service d’alternatives à la répression pénale et à diminuer le champ de la responsabilité pénale du dirigeant. À la charnière du droit pénal, de la procédure pénale, du droit répressif administratif et de la soft law, la thèse permet de théoriser l’évolution de la responsabilité pénale du dirigeant et de prolonger la réflexion sur la place du droit pénal dans l’entreprise.
