Proactive Law in a Business Environment

Proactive Law in a Business Environment PDF Author: Gerlinde Berger-Walliser
Publisher: Djoef Publishing
ISBN: 9788757427592
Category : Commercial law
Languages : en
Pages : 0

Book Description
This book assembles articles on what could be called an alternative way of legal thinking, known in Scandinavia as the proactive approach to law. Besides a general overview of proactive law, the contributions in this book include topics such as legal risk management, strategic contracting, pre-contractual negotiation, collaborative contracts, iterative contracts, and selective distribution. One of the central concerns in proactive law is to include legal considerations in the managerial process by bringing in business-oriented legal advice, and, generally speaking, engage in cross-professional and interdisciplinary collaboration.

A Short Guide to Contract Risk

A Short Guide to Contract Risk PDF Author: Helena Haapio
Publisher: Routledge
ISBN: 1351961845
Category : Law
Languages : en
Pages : 149

Book Description
Savvy managers no longer look at contracting processes and documents reactively but use them proactively to reach their business goals and minimize their risks. To succeed, these managers need a framework and A Short Guide to Contract Risk provides this. The foundation of identifying and managing contract risk is what the authors call Contract Literacy: a set of skills relevant for all who deal with contracts in their everyday business environment, ranging from general managers and CEOs to sales, procurement and project professionals and risk managers. Contracts play a major role in business success. Contracts govern companies' deals and relationships with their suppliers and customers. They impact future rights, cash flows, costs, earnings, and risks. A company's contract portfolio may be subject to greater losses than anyone realizes. Still the greatest risk in business is not taking any risks. Equipped with the concepts described in this book, business and risk managers can start to see contracts differently and to use them to find and achieve the right balance for business success and problem prevention. What makes this short guide from the authors of the acclaimed Proactive Law for Managers especially valuable, if not unique, is its down-to-earth managerial/legal approach. Using lean contracting, visualization and the tools introduced in this book, managers and lawyers can achieve legally sound contracts that function as managerial tools for well thought-out, realistic risk allocation in business deals and relationships.

Proactive Project Management

Proactive Project Management PDF Author: Morten Fangel
Publisher: Van Haren
ISBN: 9401803080
Category : Architecture
Languages : en
Pages : 461

Book Description
One mindset is that the project management process itself should be lead. You promote proactive project management by planning and evaluating relevant management initiatives – and by adapting the level of effort and the tools for the project’s degree of complexity. The entire book can be considered as a method with tools for such planning and evaluating the project management. Another mindset is that the project management is not only a task for the project managers. The project owners, the participants and other parties must also be proactively involved in the management process. Such co-management means that the analyses and plans created will become more relevant– and have more impact on the project process. The general tool for such an approach, as presented in this book, is to facilitate the management activities. The entire book is a supplement to the existing literature on project management. The new mindsets and methods promote the idea of being a more reflective project manager – and thereby gaining even more benefit from knowledge obtained from other books and from personal experiences.

Proactive Policing

Proactive Policing PDF Author: National Academies of Sciences, Engineering, and Medicine
Publisher: National Academies Press
ISBN: 0309467136
Category : Law
Languages : en
Pages : 409

Book Description
Proactive policing, as a strategic approach used by police agencies to prevent crime, is a relatively new phenomenon in the United States. It developed from a crisis in confidence in policing that began to emerge in the 1960s because of social unrest, rising crime rates, and growing skepticism regarding the effectiveness of standard approaches to policing. In response, beginning in the 1980s and 1990s, innovative police practices and policies that took a more proactive approach began to develop. This report uses the term "proactive policing" to refer to all policing strategies that have as one of their goals the prevention or reduction of crime and disorder and that are not reactive in terms of focusing primarily on uncovering ongoing crime or on investigating or responding to crimes once they have occurred. Proactive policing is distinguished from the everyday decisions of police officers to be proactive in specific situations and instead refers to a strategic decision by police agencies to use proactive police responses in a programmatic way to reduce crime. Today, proactive policing strategies are used widely in the United States. They are not isolated programs used by a select group of agencies but rather a set of ideas that have spread across the landscape of policing. Proactive Policing reviews the evidence and discusses the data and methodological gaps on: (1) the effects of different forms of proactive policing on crime; (2) whether they are applied in a discriminatory manner; (3) whether they are being used in a legal fashion; and (4) community reaction. This report offers a comprehensive evaluation of proactive policing that includes not only its crime prevention impacts but also its broader implications for justice and U.S. communities.

International Sales Law

International Sales Law PDF Author: Larry A. DiMatteo
Publisher: Cambridge University Press
ISBN: 1107782805
Category : Law
Languages : en
Pages : 805

Book Description
This book brings together the top international sales law scholars from twenty-three countries to review the Convention on Contracts for International Sale of Goods (CISG) and its role in the unification of global sales law. It reviews the substance of CISG rules and analyzes alternative interpretations. A comparative analysis is given of how countries have accepted, interpreted, and applied the CISG. Theoretical insights are offered into the problems of uniform laws, the CISG's role in bridging the gap between the common and civil legal traditions, and the debate over good faith in CISG jurisprudence. The book reviews case law relating to the interpretation and application of the provisions of the CISG; analyzes how it has been recognized and implemented by national courts and arbitral tribunals; offers insights into problems of uniformity of application of an international sales convention; compares the CISG with the English Sale of Goods Act and places it in the context of other texts of UNCITRAL; and analyzes the CISG from the practitioner's perspective.
