This paper examines venture capital investments' development in selected Central and Eastern European countries. We determine the differences in the level of development and the reasons, and we offer conclusions that can serve as a guideline in Macedonia's and other CEE countries' venture capital industry development.Different level of IPO market development, breadth, depth and liquidity of the secondary market; being or not being EU and NATO member - factor for sound business environment, guarantee for stability, and trust among investors, are some of the reasons for the difference in the VC industry level of development. Moreover, hurdle rates level, judicial system efficiency and property rights enforcement, required rates of return, entrepreneurial skills and knowledge, company transparency, and quality projects offered, are also significant factors that make the difference.The result of the comparative analysis in this paper based on the Venture capital fundraising and investment activities, the Country Attractiveness Index position and performed interviews, illustrates inferior role of the Venture Capital industry in Macedonia.

Fundamentals of private equity investments are reviewed in the second chapter. This includes definition and product categories of private equity and how PE business is organized as well as the history of PE market in Germany. The third chapter analyses the process of the PE deals including the different phases as well as the exit strategies. The last chapter critically analyse the PE deals from the point of view of the investor and the targeted company before closing with the outlook and conclusion. In the last decades, the private equity market in Germany has witnessed waves of rise and fall. But it surpassed, by the end of 2017, all the records of German PE history. According to Deutsche Beteiligungs (DBAG), the amount of transactions in the mid-sized businesses in the German market dramatically increased and hit €4.4 billion in 2017 which was the highest during the last 15 years. But in contrast, the competition in the German market has been recently high with a steady number of companies which led to high prices and overvalued companies. PE firms target the mid-sized businesses since they are more likely to accept financial investors than bank loans or credit lines. However, this problem can now be countered with the help of PE in the context of alternative corporate financing. It should be noted that PE business has been a concern of German politics and businesses since the 1960s where the financial system was basically based on banks which is not appropriate for the development of PE industry. The government intervention was the base to build a stronger PE industry away from bank-based financial systems. Recently, the stock market segment was a key driver for the dynamic development of PE market. The price falls and the collapse of the overheated and overvalued companies were also clearly felt in the PE segment and generated a great deal over scepticism on the capital markets.

The Investment Policy Reviews (IPRs) of UNCTAD help countries improve their investment policies and familiarise Governments and the international private sector with an individual country's investment environment. The IPR of the former Yugoslav Republic of Macedonia, initiated at the request of the Macedonian Government, analyses FDI trends and their impact on the host economy, provides a detailed evaluation of the legal and regulatory framework for investment, including concrete recommendations to improve it, and presents an overall strategy to attract investment that feeds into a government programme for stimulating investment covering the period 2011 to 2014. The report stresses that during the past decade, the Government has undertaken ambitious reforms to modernise the country, complete the process of transformation into a market economy, and improve the living conditions of the population. However, FDI inflows, though increasing, have so far been low compared to other South-East European countries. Among the factors holding back investment, the most important are outstanding issues in the business and investment environment, including in areas such as access to land and construction permits, as well as employment of foreigners, or implementation of existing legislation, and lack of coordination in policy-making and execution and the ensuing proliferation of insufficiently related and consistent development strategies, competitiveness plans, industrial policies and investment strategies. To meet the Government's double goals of increasing FDI inflows and deepening the benefits derived from them, an overall strategy building on five main pillars is suggested in the IPR, namely: (a) achieving global excellence in the investment framework; (b) creating synergies between FDI and industrial policy; (c) strengthening policy-making in the area of investment and competitiveness; (d) rationalizing the investment promotion effort and (e): ensuring effective policy implementation.
