La Ley 31/2014, de 3 de diciembre, por la que se modifica la Ley de Sociedades de Capital para la mejora del gobierno corporativo, va a traer consigo cambios de gran calado en el Derecho español de sociedades de capital. La reforma se enmarca en un proceso paralelo al que se ha dado en otros ordenamientos de nuestro entorno y que vienen afectando al régimen de las sociedades de capital y, en particular, al de las sociedades cotizadas. En el curso del proceso legislativo se han ido decantando algunas dudas que surgirán en el curso de su aplicación y que previsiblemente aumentarán en el futuro. Las nuevas normas permiten identificar insuficiencias, lagunas e, incluso, alguna incoherencia. La incertidumbre sólo podrá superarse cuando los tribunales y los autores consoliden una interpretación homogénea. El Despacho quiere poner de manifiesto su interés por esta importante reforma realizando un primer estudio de aproximación a todas las cuestiones que se han modificado. Se pretende con ello identificar los problemas que suscita la reforma y avanzar soluciones interpretativas razonables. Como es obvio, el comentario no busca ser un estudio doctrinal, sino una obra de alcance eminentemente práctico que permita contrastar el alcance de la nueva regulación sobre la base del conocimiento del estado precedente de la cuestión en la jurisprudencia y la doctrina.
