Dans les systèmes de common law, où elle a vu le jour, la titrisation des créances s’appuie sur le trust, qui est à la fois un instrument permettant de gérer une organisation complexe, et une universalité grâce à laquelle les biens sont appréhendés uniquement en fonction de leur valeur économique. Le régime juridique de la titrisation des systèmes romano-germaniques a reproduit cette institution par le biais du fonds commun ou de la société, pour organiser les relations entre les intervenants de sorte à obtenir des effets opposables erga omnes, et pour transformer des liens d’obligation, les créances, en biens standardisés négociables sur le marché, les titres financiers. La mise en parallèle des mécanismes utilisés en France, aux États-Unis, en Angleterre et en Italie dévoile leur équivalence fonctionnelle : la structure de l’opération apparaît toujours comme un ensemble de contrats agencés autour d’un mécanisme fiduciaire visant à affecter les créances dans l’intérêt des investisseurs ; et, le fonctionnement de l’opération montre que les créances sont partout considérées comme des biens à transmettre à un gestionnaire, afin qu’il les transforme en titres financiers permettant aux investisseurs de s’approprier leur valeur économique. En important la technique financière de la titrisation, les systèmes romano-germaniques ont donc accueilli la conception anglo-américaine de la propriété : le gestionnaire exerce la propriété fiduciaire sur les créances considérées comme des biens et, simultanément, les investisseurs exercent la propriété économique sur le portefeuille de créances grâce auquel celles-ci sont regardées comme des valeurs.
