La pratique bancaire a toujours essayé de rendre les entreprises françaises plus compétitives au niveau européen et international en leur proposant de nouveaux moyens de financement. Les PME/PMI recourent le plus souvent à des crédits à court terme garantis par leurs créances. C'est ce qu'on nomme crédits à court terme avec mobilisation de créances. La pratique bancaire a assoupli la rigueur de la technique traditionnelle la plus ancienne et la plus utilisée : l'escompte, cautionnée par une jurisprudence compréhensible, sauf dans le cas de transfert de la lettre de change par voie électronique – LCR magnétique. Ensuite, elle a poussé la cession DAILLY, modèle proposé par le législateur, vers d'autres horizons que ceux prévus à la base par la loi. N'ayant pas obtenue complète satisfaction au niveau national, la pratique bancaire a importé d'autres pays, surtout de l'Allemagne et des États-Unis, de nouvelles techniques plus simples, moins coûteuses et plus rapides. Pour échapper à la disgrâce de la jurisprudence qui contrôle la pratique, cette dernière a fondé ces nouvelles techniques sur des principes de droit civil. C'est ainsi que la fiducie se base sur la cession de créances à titre de garantie, que la LCR magnétique s'est réduite à un mandat de recouvrement et que l'affacturage trouve son fondement dans la subrogation.
