L'expérience de la récente crise financière, marquée par des faillites en cascades des entreprises qui n'ont pas été détectées à temps, a mis en évidence une certaine déficience des modèles de prévision de défaillance. À partir de données financières caractérisant les PME françaises sur la période 2004-2017, cette thèse propose de repenser la manière de modéliser le risque de défaillance en tenant compte de deux paramètres, les facteurs de risques systématiques non observés afin de marquer une rupture avec les modèles basés sur l'hypothèse d'indépendance et la position du cycle entre le moment d'estimation du modèle et celui de son application. L'objectif poursuivipar cette thèse est double: d'une part, il s'agit d'apporter de nouveaux éclairages concernant les hypothèses sur lesquelles sont fondés les modèles de défaillance traditionnels, et, d'autre part, de fournir une comparaison des implications procycliques des différentes philosophies de notation existante. Quatre chapitres ont été consacrés à cette fin. Le premier est consacré à la revue de la littérature sur la notion de la défaillance. Le second chapitre vise à examiner l'effet d'un renversement des phases du cycle réel sur la performance de modèles de défaut. Nos résultats montrent que la performance des modèles de défaillance est affectée de manière significative lorsqu'ils sont mis à l'épreuve dans un environnement économique structurellement différent de celui dans lequel ils ont été calibrés. Le troisième chapitre explore I 'importance économique des facteurs de risques systématiques non observés dans la modélisation de la défaillance d'entreprise. Nos résultats montrent que la composante systémique latente joue un rôle important et significatif dans la prévision de la détresse financière. Le dernier chapitre fournit une comparaison des implications procycliques des différents systèmes de notation existants tout en tenant compte de l'arbitrage réglementaire pratiqué par les banques. Nos résultats révèlent que la charge minimale en capital varie sur la période de façon synchronisée avec la variation des probabilités de défaut, en augmentant durant les phases récessives. Comme attendu, le système de notation le plus volatil, potentiellement le plus procyclique, est celui calibré à partir des PD PIT.

This book is about one of the most controversial dilemmas of contract law: whether or not the unexpected change of circumstances due to the effects of financial crises may under certain conditions be taken into account. Growing interconnectedness of global economies facilitates the spread of the effects of the financial crises. Financial crises cause severe difficulties for persons to fulfill their contractual obligations. During the financial crises, performance of contractual obligations may become excessively onerous or may cause an excessive loss for one of the contracting parties and consequently destroy the contractual equilibrium and legitimate the governmental interventions. Uncomfortable economic climate leads to one of the most controversial dilemmas of the contract law: whether the binding force of the contract is absolute or not. In other words, unstable economic circumstances impose the need to devote special attention to review and perhaps to narrow the binding nature of a contract. Principle of good faith and fair dealing motivate a variety of theoretical bases in order to overcome the legal consequences of financial crises. In this book, all these theoretical bases are analyzed with special focus on the available remedies, namely renegotiation, rescission or revision and the circumstances which enables the revocation of these remedies.
