The power of the Directors, in regard to the allotment of such shares in the Capital of the Company as may not have been taken up at the date of its Complete Registration, is not declared by the Act, and must therefore be regulated by the Deed of Settlement; or, if the Deed does not provide for it, must depend upon the construction which is to be put, in relation to such allotment, upon the general power committed to them to conduct the affairs of the Company. But they are expressly prohibited to purchase or sell shares, except such shares as may have been forfeited for non-payment of calls, without the sanction of a General Meeting of Shareholders duly convened ( 27). The Directors are also prohibited 27), to lend any of the money of the Company to any one of their own number, or to any Officer of the Company, without a similar sanction. No individual Director can be permitted to vote, or otherwise act as a Director, in relation to any Contract proposed to be made by or on behalf of the Company, whether for Land, Materials, or Work to be done, or for any purpose whatsoever, in which he is directly or indirectly interested otherwise than as a Shareholder ( 29).
